Regulation S - Regulation S is the offer and, sale of stock beyond the borders of the United States without the necessity of registering the stock. An individual conducting the attempt to make an offer on a given stock or the sale of securities may claim the availability of exemption from following the usual registration requirements. The safe harbor is to offer and sell that which occurs outside the restrictions and, confines of the United States border. Nothing in these rules precludes access for publications with a general circulation in the United States to offshore press conferences and meetings with company press spokespersons. |
